General assembly resolutions in limited companies can be taken electronically via MERSIS. The application, which allows the partners to take general assembly resolutions over MERSIS with their e-signatures without the need for physical presence, was put into use on July 1, 2022.

As part of the digitalization of domestic trade transactions, transactions carried out electronically over the Central Registry System (MERSİS) are being expanded day by day.

A new service has now been added to the services offered by our Ministry to our citizens within the scope of digital transformation studies.

The circular (circulation) decision-making practice of the Turkish Commercial Code, which aims to quickly take general assembly resolutions in limited liability companies, has been put into use over MERSIS. In this way, it is possible to take general assembly resolutions in limited companies in an electronic environment quickly, easily and securely.

Thanks to the application, any of the partners can sign the draft resolution prepared by MERSIS with electronic signature and submit it to the opinion of other partners, while other partners can enter the system at different times, embody their views on the decision with electronic signature and take a general assembly decision.

With the application put into effect on July 01, 2022, decisions can be taken easily, especially in cases where it is not possible for the partners to come together physically. Thus, the fact that the partners are located in different countries and cities does not prevent decision making.
